Terms of Service

These terms govern your use of the InSell website and product. They are written to be read; if anything is unclear, write to us at [email protected] before you rely on it.

1. Agreement

This is an agreement between you — the business or person using InSell — and Brain Project Labs LLC, a Florida limited liability company (“we”, “us”). Registered address: 12024 Tuscany Bay Dr, Tampa, FL 33626, United States.

You accept these terms when you create an account or start using the InSell product; we ask you to confirm this when you sign up. These terms also apply to your use of this website, as far as they are relevant to it. If you act on behalf of a company, you confirm that you have the authority to bind it. Our Privacy Policy is part of these terms.

2. The service

InSell is software for private-label brand owners selling on Amazon, Walmart, eBay and Shopify. It connects to your marketplace accounts with your authorization, reads your sales, fees, payouts, inventory and advertising data, and shows profit, cash, stock and tasks for your whole brand. What InSell does is described on this website and in the product; we may improve, add or retire features over time.

3. Early access and the 14-day full-access period

InSell is currently offered through an early access program.

When we confirm your request, you get 14 days of full access — every module, every channel, your whole team — at no charge and with no payment card required.
Before the 14 days end, we send you a quote for your setup (see section 8). Access continues only if you accept it. If you don’t, your workspace is closed at the end of the period; you can export your data before that, and we delete it as described in the Privacy Policy.
During early access the product is still being developed: features may change, and we may ask you for feedback. We may limit the number of participants or end the program at our discretion.

4. Accounts and your team

You are responsible for your account, for the members you invite and for what they do in your workspace. Keep your credentials safe and tell us at once if you suspect unauthorized use.
Give us accurate information about your business and keep it current.
Each member sees what their role allows. You decide who sees costs and margins. Removing a member or revoking a token or connected app takes effect immediately.
You must be at least 18 and able to enter into a binding agreement.

5. Marketplace connections

You authorize InSell in each marketplace’s own console (for Amazon, in Seller Central). We never ask for your marketplace password, and you can disconnect a channel at any time.
You remain responsible for complying with each marketplace’s terms and policies. InSell does not act on a marketplace on your behalf beyond what you explicitly trigger in the product.
Data we receive from Amazon is handled under the Amazon Services API Developer Agreement and the Amazon Data Protection Policy, as described in the Privacy Policy. We are an independent software provider; we are not affiliated with Amazon, Walmart, eBay or Shopify, and nothing on this website implies otherwise.

6. Your data

Everything you connect or enter — orders, costs, suppliers, purchase orders, tasks, comments — is yours. You grant us a license to store and process it only to provide, secure and improve the service for you.
We do not sell your data, use it for advertising, or train machine-learning models on it. If you connect an AI assistant through our MCP server, it acts on your behalf under your permissions.
You can export your data at any time (the accountant package and CSV exports are in the product) and ask us to delete it. Details, retention periods and your rights are in the Privacy Policy.
You confirm that you have the right to connect the accounts and upload the data you use with InSell.

7. Acceptable use

You agree not to:

use InSell for anything unlawful, or in breach of a marketplace’s terms;
connect accounts you don’t own or aren’t authorized to manage;
resell, sublicense or share your access, or use InSell to build a competing service;
reverse-engineer, scrape or bypass the product’s limits, security or access controls;
upload malicious code or interfere with the service for others;
use the API, tokens or MCP server beyond the rate and scope we document.

We may suspend access that violates these rules; where possible we will warn you first.

8. Fees and payment

There is no charge for the 14-day full-access period.
InSell is priced by quote. The quote depends on the number of SKUs, marketplace accounts, brands and channels in your setup, and is valid for the period stated in it. We don’t publish a price list, and there are no features to unlock — every plan includes everything.
After you accept a quote, we invoice you as set out in it. Prices exclude taxes; you are responsible for any sales or similar taxes that apply.
If an invoice remains unpaid after we remind you, we may suspend access until it is paid.
If your setup changes — more channels, accounts or brands — we update the quote to match and tell you before the change applies.
Fees are non-refundable: if you stop using InSell, your access continues until the end of the paid period. If we discontinue the service or end your access for a reason other than your breach, we refund the unused part of the paid period.

9. Availability and support

We work to keep InSell available and reliable, but during early access it is provided “as is” and we don’t promise a specific uptime or response time.

We may schedule maintenance and will try to tell you in advance when it affects you.

10. Intellectual property

InSell — the software, design, text and name — belongs to Brain Project Labs LLC. These terms give you a limited, non-exclusive, non-transferable right to use it for your business for as long as you have access. Feedback you give us may be used to improve the product without obligation to you. Marketplace names are trademarks of their respective owners.

11. Disclaimers

InSell shows you numbers calculated from the data marketplaces and you provide. We work hard to make them right, but they are management figures, not accounting, tax or legal advice. You remain responsible for your business decisions, your filings and your compliance. Except as expressly stated in these terms, InSell is provided “as is” and “as available”, without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose and non-infringement — to the extent permitted by law. We do not warrant that InSell will be uninterrupted or error-free.

12. Limitation of liability

To the extent permitted by law, Brain Project Labs LLC is not liable for indirect, incidental or consequential losses — including lost profit, lost sales or lost data — arising from your use of InSell. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim, or US$100 if you have paid nothing. Nothing in these terms limits liability that cannot be limited by law.

13. Indemnity

You will defend and indemnify Brain Project Labs LLC against claims by third parties — including a marketplace — that arise from your breach of these terms or of a marketplace’s terms, from data you connected or uploaded without the right to do so, or from your unlawful use of InSell, and you will pay the resulting reasonable costs, including legal fees. We will tell you promptly about such a claim and let you control its defense.

14. Termination

You can stop using InSell and delete your workspace at any time.
We can suspend or end your access if you breach these terms, if required by law, or if we discontinue the service; we will give you reasonable notice where we can, and time to export your data.
Sections 6, 8 (for fees already owed), 10, 11, 12, 13, 15 and 17 survive termination.

15. Governing law and disputes

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Any dispute that we cannot resolve together will be brought in the state or federal courts located in Hillsborough County, Florida, and you consent to their jurisdiction.

16. Changes

We may update these terms. For material changes we notify account owners by email before the change takes effect; continuing to use InSell after that date means you accept the new terms. The date at the top shows the current version; earlier versions are available on request.

17. General

Entire agreement. These terms, the Privacy Policy and any quote you accept are the whole agreement between us about InSell. If a quote conflicts with these terms on fees or scope, the quote wins.
Notices. We send notices to the email address of your account owner; you send them to [email protected]. You agree to receive notices and other communications from us electronically.
Assignment. You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of the InSell business.
Events beyond control. Neither of us is liable for delays caused by events outside reasonable control, such as outages of a marketplace or hosting provider; this does not excuse payments due.
Severability and waiver. If a provision is found unenforceable, the rest stays in force. Not enforcing a provision is not a waiver of it.
Relationship. We are independent parties; these terms create no partnership, agency or employment.
